Company re-registration: deadline extended to 20 April 2028
Every company and PBC registered under the previous Acts must re-register on the CIPZ online system. Here is what you need to know.
The Companies and Other Business Entities Act [Chapter 24:31] requires companies and private business corporations (PBCs) registered under the previous legislation (the now-repealed Companies Act [Chapter 24:03] and Private Business Corporations Act [Chapter 24:11]) to re-register electronically, so that the Registrar holds complete, up-to-date information on every entity. The re-registration regulations (Statutory Instrument 108 of 2025) originally set a deadline of 20 April 2026.
Who must re-register?
SI 108/2025 applies to companies and Private Business Corporations registered before implementation of the electronic registry system. Contact us to review whether your entity falls within this scope.
What you will need
- Certificate of incorporation and constitutional documents (memorandum and articles, or PBC founding statement)
- Up-to-date shareholding details
- For every director, member and shareholder: full name, national ID or passport number, date of birth, phone number and email address
- The company's registered physical and postal addresses
- Beneficial ownership information (see our separate guide)
This list is a guide, not exhaustive. The CIPZ system may ask for further information depending on the entity.
